Terms & Conditions

1. Definitions

In these Terms and Conditions:

  • "Ambervine", "we", "us", "our" refers to Ambervine, a care services company registered and operating in New Taipei City, Taiwan.
  • "Service" refers to any in-home care or support offering provided by Ambervine, including Social Engagement Visits, Medical Appointment Management, and the All-Inclusive Home Wellness Program.
  • "Client" or "you" refers to the family member or authorised representative who engages or inquires about our services.
  • "Care Recipient" refers to the elderly individual receiving care.
  • "Agreement" means these Terms and Conditions together with any written service agreement signed between you and Ambervine.

2. Acceptance of Terms

By submitting an inquiry through our website, signing a service agreement, or engaging our services in any way, you confirm that you have read, understood, and agreed to these Terms and Conditions. You must be at least 18 years of age and have the legal capacity to enter into this agreement. If you are acting on behalf of the Care Recipient, you confirm that you have the authority to do so.

3. Service Description and Availability

Ambervine provides in-home elderly care services in New Taipei City and surrounding districts of Taiwan. Services are described in detail on our website and in any written service agreement. We reserve the right to adjust service availability based on caregiver capacity, geographic constraints, or operational requirements. Any significant changes to an agreed service arrangement will be communicated with reasonable notice.

4. User Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about the Care Recipient's situation and health status, insofar as it is relevant to the service being requested
  • Ensure the home environment is reasonably safe for our caregivers
  • Communicate changes in the Care Recipient's circumstances that may affect the service
  • Treat Ambervine caregivers with respect and dignity at all times
  • Not engage or attempt to engage Ambervine caregivers directly or privately outside the scope of the agreed service
  • Make payments by the agreed dates

5. Payment Terms

Services are invoiced monthly in New Taiwan Dollars (NT$). Payment is due within 10 calendar days of the invoice date. Accepted payment methods include bank transfer to the account details provided on the invoice. We reserve the right to suspend services if payment is overdue by more than 14 days, following written notice.

Pricing is as stated in your service agreement and on our Solutions page at the time of engagement. Ambervine may revise pricing with 30 days' written notice for ongoing arrangements.

6. Cancellation and Amendments

Either party may request amendments to the service arrangement at any time. Adjustments take effect at the start of the following service month unless otherwise agreed in writing. To discontinue services entirely, a minimum of 14 days' written notice is required. Services rendered prior to cancellation remain payable in full.

Ambervine reserves the right to terminate a service arrangement immediately in the event of a serious breach of these Terms, including but not limited to, placing a caregiver in an unsafe environment or engaging in abusive conduct toward our staff.

7. Intellectual Property

All content on the Ambervine website โ€” including text, images, design, and structure โ€” is owned by or licensed to Ambervine. You may not reproduce, redistribute, or use any part of our website content for commercial purposes without prior written permission. You are welcome to share links to our pages.

8. Confidentiality

Both parties agree to treat information exchanged in the course of the service relationship as confidential. Ambervine will not share your personal data or the Care Recipient's details with third parties except as described in our Privacy Policy. We ask that you likewise treat information about our caregivers and operational practices with discretion.

9. Disclaimers

Ambervine provides companionship, coordination, and support services. We are not a medical provider and our caregivers do not offer clinical diagnoses, prescribe medication, or perform medical procedures. Any health concerns should be directed to a licensed medical professional. We make no guarantee of specific outcomes in relation to the Care Recipient's wellbeing or health status.

10. Limitation of Liability

To the fullest extent permitted by applicable Taiwanese law, Ambervine's liability in connection with any service engagement is limited to the fees paid for the service in the month in which the issue arose. We are not liable for indirect, consequential, or incidental losses. Nothing in these Terms limits liability for gross negligence, wilful misconduct, or personal injury caused by our staff.

11. Indemnification

You agree to indemnify and hold Ambervine harmless from any claims, losses, or expenses arising from your failure to comply with these Terms, your provision of inaccurate information about the care environment, or any action that causes harm to our caregivers or staff.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of China (Taiwan). Any dispute arising from or relating to these Terms or our services will be subject to the jurisdiction of the courts of New Taipei City, Taiwan. We encourage both parties to attempt informal resolution in good faith before initiating formal proceedings.

13. General Provisions

  • Entire agreement: These Terms, together with any signed service agreement, constitute the full agreement between the parties and supersede prior discussions.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
  • Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may transfer our obligations to a successor organisation with notice.

14. Changes to These Terms

We may update these Terms from time to time. Significant changes will be communicated by email or prominent notice on our website at least 14 days before they take effect. Continued engagement with our services after a change takes effect constitutes acceptance of the revised Terms.
